1. Agreement to these Terms

These Terms of Service (“Terms”) govern your access to soulrxlab.com (the “Website”) and any purchase of products from SoulRxLab (“SoulRxLab,” “we,” “us” or “our”). By visiting the Website, creating an account or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Website or purchase from us.

2. Eligibility

You must be at least 18 years old to use the Website or place an order. By using the Website, you confirm that you are at least 18, that you are purchasing for legitimate laboratory research purposes, and that you have the training and facilities needed to handle research chemicals safely.

You are solely responsible for knowing and following all laws and regulations that apply to the purchase, possession, storage, handling and use of our products where you live. We may refuse service, cancel orders or block access to anyone we believe does not meet these requirements. We may also ask you to confirm your age, identity or research purpose before shipping an order. If you do not provide the requested information, we may cancel the order and refund the amount paid as described in Section 7.

3. Research Use Only

All products sold by SoulRxLab are intended strictly for in-vitro laboratory research by qualified professionals. They are not drugs, foods, dietary supplements or cosmetics, and they are not intended for human or animal use of any kind. No statement on this Website has been evaluated by the U.S. Food and Drug Administration.

Product names, descriptions and images are provided for identification only and do not suggest any use, dose or effect.

4. Prohibited Use

You agree not to use, or allow anyone else to use, any SoulRxLab product:

• for human or animal consumption, injection, application or administration of any kind;
• for clinical, diagnostic, therapeutic, cosmetic or performance purposes;
• for compounding, resale for human use, or relabeling as a drug, supplement or cosmetic;
• in any way that violates federal, state or local law.

If we believe an order or customer is connected to prohibited use, we may cancel the order, close the account and permanently refuse future service without notice. Discussing personal use with us in any channel is grounds for immediate cancellation.

5. No Medical or Usage Advice

We do not provide medical advice, dosing information, reconstitution instructions or usage guidance of any kind, and nothing on the Website or in our communications should be taken as such. Requests for this type of information may result in order cancellation.

6. Orders and Pricing

• All prices are listed in U.S. dollars. Prices, product availability and promotions may change at any time without notice.
• An order is accepted only when we confirm it and receive full payment. We may refuse or cancel any order for any reason, including suspected prohibited use, pricing or listing errors, or stock issues. If we cancel a paid order, our only obligation is to refund the amount you paid, as described in Section 7.
• Bulk discounts (10% off vial subtotals of $250 or more, 15% off $400 or more) apply to product totals only, not shipping. Only one discount may be used per order.
• You are responsible for any taxes that apply to your purchase.
• You must provide accurate, complete contact and shipping information with every order.

7. Bitcoin Payments

SoulRxLab accepts Bitcoin (BTC) only. By paying with Bitcoin, you acknowledge that cryptocurrency transactions are permanent, cannot be reversed, and that you alone are responsible for sending the correct payment to the correct address on the correct network. Please read this section carefully before paying.

7.1 Send only BTC, only on the Bitcoin network

Payments must be made in native Bitcoin (BTC) on the Bitcoin main network, to the exact address shown for your order at checkout. Sending any other cryptocurrency (including Bitcoin Cash, Bitcoin SV, Ethereum, USDT or any other token), or sending Bitcoin over any other network (including wrapped Bitcoin, BEP-20, ERC-20, Solana, Tron or Lightning, unless Lightning is clearly offered at checkout), may result in the permanent loss of your funds. SoulRxLab cannot recover, refund or credit payments sent in the wrong currency or on the wrong network.

7.2 Wrong address

Each order receives its own payment address. Funds sent to any address other than the one displayed for your order at checkout, including an address from an older order, a mistyped or altered address, or an address you received from anyone other than our checkout page, are your responsibility and cannot be recovered or refunded by us. Always check the full address before sending. SoulRxLab will never send you a payment address by text, direct message, social media or email that differs from the one shown at checkout.

7.3 Exact amount and payment window

The BTC amount for your order is calculated from the U.S. dollar total at the time of checkout and is valid for a limited time ([X] minutes). You must send the full amount shown within that window.

• Underpayments: orders are not processed until paid in full. You may be asked to send the remaining balance. If the balance is not received, we may cancel the order and return the amount received, less network fees.
• Overpayments: amounts sent over the order total may be returned on request, less network fees, or applied as store credit at our discretion.
• Late payments: payments that arrive after the window expires may be re-quoted at the current exchange rate. Any shortfall must be paid before the order ships.

7.4 Network fees and confirmations

You are responsible for all Bitcoin network (miner) fees and for any fees charged by your wallet or exchange. Network fees are not refundable. An order is considered paid only after the transaction receives [X] confirmation(s) on the Bitcoin blockchain. Transactions sent with low fees may take longer to confirm, and we are not responsible for delays caused by network congestion or fee choices.

7.5 Exchange rate and price changes

Bitcoin’s value can change quickly. Any change in value before or after your payment is your risk. Order totals are fixed in U.S. dollars, and refunds, when issued, are based on the U.S. dollar amount of the original order, not the amount of BTC sent.

7.6 Third-party wallets, apps and exchanges

You may buy or send Bitcoin through services such as Cash App, Venmo, Coinbase, MetaMask or any other wallet or exchange. These services are not affiliated with SoulRxLab. We are not responsible for their fees, limits, delays, outages, account restrictions, identity checks or errors, or for any funds held or lost on those platforms. Any dispute with those services must be resolved with them directly.

7.7 Payments are final

Bitcoin transactions cannot be reversed, charged back or cancelled once sent. All payments are final except where SoulRxLab chooses to issue a refund under these Terms. Refunds, when issued, are sent in BTC to an address you provide, at the U.S. dollar value of the refunded amount, less network fees. You are responsible for giving us a correct BTC address on the Bitcoin network for any refund.

7.8 Security

You are responsible for the security of your own devices, wallets and accounts. SoulRxLab is not liable for losses caused by phishing, impersonators, clipboard or address-replacing malware, compromised devices, lost private keys or any other unauthorized access to your wallet.

7.9 Payment processor and compliance

Payments may be handled by a third-party payment processor ([Processor name]) and may also be subject to its terms. You represent that the funds you use are lawfully obtained and that you are not using our services to launder money or avoid sanctions. We may refuse, hold or return any payment we reasonably believe is connected to fraud, sanctioned parties or illegal activity.

7.10 Taxes

You are solely responsible for any tax reporting or tax liability that results from your use of cryptocurrency.

7.11 Limitation

To the fullest extent permitted by law, SoulRxLab is not liable for any loss of funds or other damages resulting from payments sent to the wrong address, on the wrong network, in the wrong currency, in the wrong amount, with insufficient fees, outside the payment window, or through a third-party service.

8. Shipping and Delivery

• Orders ship via USPS Priority Mail for a flat $25 shipping charge. We currently ship only within the United States.
• Delivery estimates are not guaranteed. Once a package is handed to USPS, delivery times are up to USPS. Some products may take longer to ship because of availability and sourcing.
• You are responsible for providing a complete and correct shipping address. We are not responsible for packages delivered to an incorrect address you provided. Packages returned to us because of an address error may be reshipped at your cost.
• Risk of loss: title and risk of loss pass to you when your order is handed to the carrier. From that point on, SoulRxLab is not responsible for any package that is lost, stolen, delayed, misdelivered, damaged, opened, inspected, tampered with, returned, held, detained, confiscated or seized by any carrier, postal service, customs office or government authority, or by any other third party.
• No obligation to refund or replace: we are not required to refund, reship or replace orders affected by any of the events above. If we choose to help, for example by assisting with a carrier claim or sending a replacement, that help is at our sole discretion and does not create an obligation for any other order.
• Delivery confirmation: a package marked as delivered by the carrier is considered delivered. Claims of non-receipt after a delivered scan must be taken up with the carrier.
• Your responsibility: you are responsible for making sure your order can be lawfully shipped to and received at the address you provide.
• We may refuse to ship to any address at our discretion.

9. Returns and Refunds

Because of the nature of our products, all sales are final. We do not accept returns, exchanges or cancellations once an order has been paid, except as described below.

• Damaged or incorrect items: inspect your order when it arrives. If an item is damaged, defective or not what you ordered, email us within 7 days of delivery with your order number and clear photos of the item and packaging.
• Remedy: if we confirm the issue, we will, at our discretion, send a replacement or issue store credit. Cash or BTC refunds are issued only where we choose to or where required by law.
• Products that have been opened, reconstituted, improperly stored or misused are not eligible.

10. Product Disclaimer

Products are provided “as is” and “as available.” To the fullest extent permitted by law, SoulRxLab disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We make no guarantee of any research result or outcome. Any information on the Website is for general reference only and may contain errors.

11. Limitation of Liability

To the fullest extent permitted by law, SoulRxLab and its owners, employees, suppliers and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any personal injury, illness or property damage arising from the handling, storage or use (including misuse) of any product, or from the loss, delay, damage, tampering, detention or seizure of any shipment after it leaves our hands. Our total liability for any claim related to an order will not exceed the amount you paid for that order.

You assume all risk associated with the purchase, handling, storage, use and disposal of our products. Responsibility for any misuse, including any use contrary to Sections 3 and 4, rests solely with you and anyone you allow to access the products.

12. Indemnification

You agree to defend, indemnify and hold harmless SoulRxLab and its owners, employees, suppliers and partners from any claims, damages, losses or expenses (including reasonable attorneys’ fees) arising from your use of the Website, your purchase, handling or use of any product, your violation of these Terms, or your violation of any law or the rights of any third party.

13. Website Use and Content

All content on the Website, including text, images, product photos, logos and the SoulRxLab name, belongs to SoulRxLab or its licensors. You may view the Website for your own personal use only. You may not copy, scrape, reproduce, modify or use our content for any commercial purpose without our written permission. The Website is provided “as is,” may be changed or taken offline at any time, and may contain errors that we may correct without notice.

14. Privacy

We collect only the information needed to process and ship your order, such as your name, email, shipping address, order details and payment transaction information (for example, a Bitcoin transaction ID). We use this information to fulfill orders, provide support and prevent fraud. We do not sell your personal information. We may share it with service providers that help us operate (such as our payment processor and shipping carrier) or when required by law. To request access to or deletion of your information, email us.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of [State], without regard to its conflict-of-law rules. Before filing any claim, you agree to contact us and try in good faith to resolve the dispute informally for at least 30 days. Any dispute that cannot be resolved informally will be settled by binding arbitration in [County, State] on an individual basis. 16. General Terms

• Changes: we may update these Terms at any time by posting a new version on the Website. Continued use of the Website or placing an order after changes are posted means you accept the updated Terms.

• Force majeure: we are not responsible for delays or failures caused by events outside our reasonable control, including supplier shortages, carrier delays, natural disasters and network outages.
• Entire agreement: these Terms are the entire agreement between you and SoulRxLab regarding the Website and our products. Our failure to enforce any part of these Terms is not a waiver of that right.
